Terms of Service
These Terms explain the rules for using Biznable, creating accounts, managing business workspaces, subscribing to plans, and operating business records through the platform.

These Terms of Service govern your access to and use of Biznable, including our public website, web application, backend services, support channels, webstores, business tools, and related product environments.
In these Terms, "Biznable", "we", "us", and "our" mean Biznable. "Customer", "user", "you", and "your" mean the person, business, organization, administrator, staff member, or other user accessing or using the Services.
By creating an account, accessing a workspace, subscribing to a plan, using a webstore, or otherwise using the Services, you agree to these Terms. If you are using the Services on behalf of a business or organization, you confirm that you have authority to bind that business or organization to these Terms.
1. The Biznable Services
Biznable provides business software for managing sales, inventory, services, customers, suppliers, expenses, reporting, staff access, webstores, business records, and related operational workflows.
The Services are intended to help businesses organize their operations. Biznable is not a bank, accountant, auditor, tax adviser, lawyer, insurance provider, or government filing service. Reports, summaries, alerts, exports, and calculations generated by Biznable depend on the information entered by your business and should be reviewed before being used for accounting, tax, regulatory, or legal decisions.
2. Eligibility and authority
You may use Biznable only if you can legally enter into a binding agreement and comply with these Terms. If you create or manage a workspace for a business, you confirm that the business is lawful and that you have authority to create, operate, or administer that workspace.
You must provide accurate account, business, billing, and contact information. You must keep this information updated so we can operate the Services, send important notices, manage billing, and handle support or security issues.
3. Accounts and security
You are responsible for keeping your login credentials secure and for all activity that occurs under your account or workspace. You must not share your password, allow unauthorized access, bypass security controls, or use another person's account without permission.
Workspace owners and administrators are responsible for inviting the right users, assigning the right roles, limiting staff permissions, reviewing access, and removing users who should no longer have access.
You must notify us promptly if you suspect unauthorized access, credential compromise, account misuse, data loss, or any security incident involving your account or workspace.
4. Workspaces and staff access
A Biznable workspace may contain business records, staff activity, customer information, supplier information, inventory data, service records, webstore settings, reports, and related operational data.
The workspace owner or authorized administrator controls who may access the workspace and what each user may do. Biznable is not responsible for losses caused by incorrect staff permissions, unauthorized internal access, shared credentials, or failure to remove a user after employment, engagement, or authorization ends.
If there is a dispute about ownership or control of a workspace, we may request documents, business records, identity information, or legal proof before taking action. We may restrict access while reviewing the dispute.
5. Business data
You own the business records you enter into Biznable. This may include customer records, supplier records, stock, services, orders, sales, payments, expenses, reports, webstore content, staff records, and related business information.
You grant Biznable the limited permission needed to host, process, transmit, display, back up, secure, analyze, and otherwise use your business data only as necessary to provide, maintain, protect, and improve the Services, comply with law, enforce these Terms, and support your account.
You are responsible for making sure that any data you enter into Biznable is accurate, lawful, and collected with the required permission. This includes personal data belonging to customers, suppliers, staff members, and other individuals.
Biznable does not sell your workspace data. We do not use customer workspace data for third-party advertising.
6. Privacy and data protection
Our handling of personal data is described in our Privacy Policy. By using the Services, you acknowledge that personal data may be processed according to that Privacy Policy and applicable data protection laws.
If you use Biznable to process personal data on behalf of your customers, suppliers, staff, or other persons, you are responsible for providing any required privacy notices, obtaining any required consents, and complying with applicable data protection obligations.

7. Plans, trials, billing, and taxes
Some parts of the Services may be free, trial-based, usage-limited, or paid. Plan features, limits, prices, billing cycles, renewal terms, and trial access may be shown inside the application, on our website, or during checkout.
If you subscribe to a paid plan, you agree to pay all applicable fees, taxes, charges, and renewal amounts associated with that plan. You authorize us and our payment providers to charge your selected payment method according to the billing terms shown at the time of purchase or renewal.
Paid access may be limited, suspended, downgraded, or terminated if payment fails, a subscription expires, a charge is reversed, billing information is invalid, or a workspace exceeds the limits of its active plan.
Unless required by law or expressly stated in writing, fees are non-refundable. We may, at our discretion, issue credits, refunds, or billing adjustments in specific cases, but doing so once does not create a duty to do so again.
You are responsible for any taxes, duties, levies, or government charges connected with your use of the Services, your business activity, your customers, your sales, and your subscriptions.
8. Webstores and public business pages
Biznable may allow businesses to create webstores, public product pages, service pages, order links, customer-facing forms, or other public-facing business pages.
You are responsible for all content, prices, product descriptions, service descriptions, images, policies, delivery information, customer messages, and representations published through your webstore or public page.
You must not use any webstore or public page to mislead customers, sell unlawful goods or services, impersonate another business, infringe intellectual property, collect information unlawfully, or make claims you cannot support.
You are responsible for fulfilling customer orders, handling refunds, managing complaints, complying with consumer protection rules, and meeting any legal duties that apply to your business.
9. Acceptable use
You must not use Biznable to:
- break any law, regulation, court order, or third-party right;
- store, promote, sell, or distribute unlawful goods, services, or content;
- misrepresent your identity, business, products, services, prices, or authority;
- upload malware, harmful code, spam, phishing content, or deceptive messages;
- interfere with, overload, scan, attack, reverse engineer, or bypass the Services;
- access data, accounts, systems, or workspaces without permission;
- use another person's credentials, payment method, identity, or business records unlawfully;
- harass, threaten, defame, abuse, exploit, or discriminate against any person;
- upload content that infringes copyright, trademarks, privacy rights, or other rights;
- use the Services to send unsolicited messages or unlawful marketing;
- remove, hide, or alter security, attribution, copyright, or proprietary notices;
- use the Services in a way that may damage Biznable, other users, or the public.
We may investigate suspected misuse and may suspend or terminate access where we believe these Terms have been breached or where action is needed to protect the Services, users, customers, or third parties.
10. Operational accuracy and business responsibility
Biznable calculates summaries, reports, balances, inventory movement, sales records, payment records, expenses, taxes, and other outputs from the data entered by your business and the settings configured by authorized users.
You must review and verify records before relying on them for business decisions, tax filing, accounting, audits, payroll, legal compliance, inventory reconciliation, regulatory submissions, or financial reporting.
Biznable is not responsible for losses caused by incorrect entries, missing records, duplicate records, wrong tax settings, wrong prices, wrong permissions, incorrect business setup, staff misuse, or failure to review generated reports.
11. Third-party services
The Services may connect to third-party tools such as payment processors, hosting providers, email providers, analytics tools, messaging services, accounting tools, delivery services, or external integrations.
Third-party services are controlled by their own providers and may be governed by separate terms and privacy policies. We are not responsible for third-party services, delays, outages, errors, pricing, security incidents, or changes.
12. Service availability and changes
We aim to keep Biznable reliable and useful, but we do not guarantee that the Services will be uninterrupted, error-free, or available at all times. The Services may be affected by maintenance, upgrades, internet issues, vendor failures, security events, power outages, bugs, or events outside our control.
We may add, remove, limit, suspend, rename, or change features, plans, pricing, limits, or product behavior from time to time. Where a change materially affects paid users, we will take reasonable steps to give notice where appropriate.
13. Beta features and experimental tools
We may release beta, early-access, preview, or experimental features. These features may be incomplete, unstable, changed, limited, or removed at any time. You should not rely on beta features for critical business operations unless we expressly state otherwise in writing.
14. Intellectual property
Biznable and its software, design, interfaces, workflows, trademarks, logos, documentation, content, code, and other materials are owned by Biznable or its licensors. These Terms do not transfer ownership of Biznable intellectual property to you.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your lawful internal business purposes.
You may submit suggestions, comments, or feedback about Biznable. We may use feedback without restriction or payment to you, provided we do not claim ownership of your underlying business data.
15. Confidentiality
During use of the Services, you may receive non-public information about Biznable, including product plans, pricing, technical details, security details, business information, or private communications. You must not disclose such information unless it becomes public through no fault of yours, we give written permission, or disclosure is required by law.
We will handle your non-public business data according to these Terms, our Privacy Policy, and applicable law.
16. Suspension and termination
You may stop using Biznable at any time. You may also cancel a paid plan through the billing controls available in the application, where provided, or by contacting support.
We may suspend, restrict, or terminate your access if we reasonably believe that:
- you have breached these Terms;
- your account presents a security, legal, payment, or operational risk;
- your use may harm Biznable, other users, customers, or third parties;
- you have provided false, misleading, or incomplete information;
- your subscription has expired or payment has failed;
- we are required to do so by law, regulator request, court order, or payment provider requirement.
After termination or cancellation, your right to use the Services ends. Some provisions of these Terms will continue to apply, including provisions relating to payment obligations, business data, intellectual property, confidentiality, disclaimers, liability limits, indemnity, dispute resolution, and governing law.
17. Data export and deletion
We may provide tools that allow authorized users to export certain workspace data. You are responsible for exporting any records you need before cancelling, closing, or deleting a workspace.
When a workspace is deleted or closed, we may delete or restrict access to associated data, subject to backup processes, legal obligations, tax and accounting retention, fraud prevention, dispute resolution, security needs, and legitimate business recordkeeping.
Backup copies may remain for a limited period after deletion because of technical recovery processes.
18. Disclaimers
The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by law. We do not promise that the Services will meet every business need, produce error-free records, prevent all losses, detect all fraud, guarantee sales, or ensure compliance with every law that applies to your business.
You are responsible for your business decisions, records, filings, customer relationships, staff management, inventory control, tax treatment, accounting treatment, and legal compliance.
19. Limitation of liability
To the maximum extent permitted by law, Biznable will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profit, loss of revenue, loss of goodwill, loss of business opportunity, loss of data, business interruption, or cost of substitute services.
To the maximum extent permitted by law, Biznable's total liability for any claim arising out of or relating to the Services or these Terms will not exceed the amount you paid to Biznable for the Services in the three months before the event giving rise to the claim, or the lowest amount permitted by applicable law where no payment was made.
Some laws do not allow certain exclusions or limits. In those cases, the limits in these Terms apply only to the extent permitted by law.
20. Indemnity
You agree to defend, indemnify, and hold harmless Biznable, its officers, directors, employees, contractors, agents, service providers, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from:
- your use or misuse of the Services;
- your breach of these Terms;
- your business data, webstore content, customer communications, or public listings;
- your violation of law or third-party rights;
- your products, services, orders, refunds, deliveries, or customer disputes;
- actions or omissions by users you invite into your workspace.
21. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules.
Before starting formal proceedings, you and Biznable agree to first try to resolve disputes in good faith by contacting each other and giving a reasonable opportunity to respond.
Subject to any mandatory law that applies, disputes arising from or relating to these Terms or the Services will be handled by the courts of competent jurisdiction in Nigeria.
22. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will take reasonable steps to notify users, such as by updating the date above, posting a notice in the application, or sending an email where appropriate.
Continued use of the Services after updated Terms become effective means you accept the updated Terms.
